Terms of Use

 

​Welcome to Neu Edge. By using this website or purchasing any service from Neu Edge (“we,” “us,” “our”), you agree to these Terms of Use, our Privacy Policy, and the Engagement Terms for any service you buy. Please read them. If you do not agree, do not use the site or purchase services.
 

1. Who we are
This website is owned and operated by Neu Edge, an executive coaching and strategic advisory practice based in California. These Terms apply to everyone who uses the site or our services, including clients, sponsors, visitors, and subscribers.
 

2. Eligibility
You must be at least 18 years old to use this site or purchase services.
 

3. Engagements
Coaching and advisory services are sold as monthly retainers in three tiers: Anchor Practice, Strategic Partnership, and Embedded Advisor. What each tier includes, including sessions per month, rapid response calls, between-session access, notice periods, and response times, is set out in the Engagement Terms shown at purchase and at booking. The Engagement Terms are part of these Terms.

  • Monthly allowances are for that month and do not carry over.

  • Sessions may be booked up to 60 days ahead, subject to your tier’s notice period.

  • Sessions cancelled or rescheduled with less than 12 hours’ notice count as used. Rapid response calls cancelled with less than 1 hour’s notice count as used.

  • We are not responsible for sessions missed because of no-shows, late arrival, or connectivity problems on your end. If we miss a session, it is rescheduled at no charge.

  • Additional sessions outside a retainer are available as Executive Intensives, priced per session and subject to the same cancellation terms.

  • Changes to your tier or scope are confirmed in writing.

4. Fees and billing

  • Retainers are billed monthly in advance by automatic payment through our scheduling and payment providers. Your booking link activates on payment.

  • Each tier has an initial commitment: three months for Anchor Practice and Strategic Partnership, six months for Embedded Advisor. After that, the retainer continues month to month.

  • Either of us may end a retainer after the initial commitment with 30 days’ written notice. If you end it during the initial commitment, the remaining months are payable.

  • Fees are non-refundable once a month has begun, except as stated in Section 9 or required by law.

  • Your monthly fee is fixed for the initial commitment. After that, we may adjust fees with 30 days’ written notice.

  • If a payment fails, booking pauses until it is resolved. Paused months are not extended or refunded.

5. Sponsored engagements
When an organization pays for a leader’s coaching, the organization is the sponsor and the leader is the client. Sponsored engagements are governed by a signed Sponsored Engagement Agreement in addition to these Terms. The sponsor receives engagement-level updates only. Session content is never shared with the sponsor.
 

6. Confidentiality
What you share in sessions and between sessions is confidential. We do not disclose it except where required by law, court order, or subpoena; where there is imminent risk of serious harm to you or others; or where the information is already public or lawfully obtained from another source. We may disclose your name, contact details, and engagement dates to the International Coaching Federation and the Berkeley Executive Coaching Institute for credentialing purposes only.


7. Nature of coaching
Coaching and advisory work is a professional partnership. It is not therapy, counseling, or psychological, medical, legal, or financial advice, and it does not diagnose or treat any condition. You are responsible for seeking such professional help if needed, and for your own decisions, actions, and results. We follow the International Coaching Federation Code of Ethics. No specific outcome is guaranteed.


8. Communications
By purchasing a retainer and providing a mobile number, you consent to receive text messages from Neu Edge related to your engagement, including scheduling and between-session communication. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of automated messages at any time; direct messages between you and your coach continue unless you ask otherwise. Our Privacy Policy explains how we handle your contact information.


9. Ending an engagement

  • You may end your engagement as described in Section 4.

  • We may end an engagement on 30 days’ written notice. If we do, fees paid for months not yet delivered are refunded.

  • We may end an engagement immediately, without refund of the current month, if you breach these Terms, behave abusively, or, in a sponsored engagement, if the sponsor presses for disclosure of session content.

  • Sections 6, 7, 10, and 11 survive the end of any engagement.

10. Limitation of liability
The website and our services are provided as described, without warranties of any kind, express or implied. To the fullest extent permitted by law, Neu Edge is not liable for indirect, incidental, special, or consequential damages arising from your use of the website or our services. Our total liability to you for any claim is limited to the fees you actually paid to Neu Edge in the three months before the claim arose.


11. Intellectual property
All content on this site and all materials we provide in an engagement, including branding, logos, frameworks, tools, and written materials, belong to Neu Edge or are used with permission. You may use materials we share with you for your own development. You may not copy, distribute, publish, or reuse them commercially without written permission. NEU EDGE and “Minimum woo. Maximum follow-through.” are trademarks of Neu Edge.


12. Third-party links and tools
We use third-party services for scheduling, payment, and communication, and may occasionally link to or recommend third-party products. We do not control those services or sites and are not responsible for their content, policies, or performance. Any affiliate relationship is disclosed where it applies.
 

13. International clients
Clients outside the United States are welcome. Neu Edge operates under United States and California law. You are responsible for any local taxes or requirements that apply to you. Services are delivered in English unless agreed otherwise.
 

14. Changes to these Terms
We may update these Terms and the Engagement Terms. Changes take effect 30 days after we post them and notify active clients by email, or immediately for new purchases. Your monthly fee stays fixed for your initial commitment regardless of changes. Continuing to book sessions after the effective date is acceptance of the updated Terms. The version in effect when you book governs that booking.
 

15. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. If a dispute arises, we will first try to resolve it by direct discussion, then by non-binding mediation in Alameda County, California, with the mediator’s fees shared equally. If mediation does not resolve it, either party may pursue its remedies in the state or federal courts located in Alameda County, California, and each party consents to that jurisdiction.
 

16. General
If any provision of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your engagement to another person without our written consent. These Terms, the Privacy Policy, the Engagement Terms, and any signed Sponsored Engagement Agreement are the entire agreement between us on their subject.
